Sponsor advisory

We advise financial sponsors, typically private equity and infrastructure investors, and their management teams, assisting them to execute transactions and accelerate their development plans.  Our role typically includes:

  • Initiating transactions, in particular working alongside talented industry managers

  • Providing corporate finance advice

  • Managing transaction workstreams and other advisors 

  • Procuring debt and other sources of capital

  • Helping to develop and implement strategy (e.g. M&A, JVs/partnerships and refinancings)

  • Supporting governance, providing ongoing corporate finance support and assisting to shape the business for exit

Rail and infrastructure

 

We initiated and advised on the £2.1 billion acquisition of rolling stock leasing company Eversholt Rail from HSBC in 2010 (voted global M&A deal of that year), co-investing alongside STAR Capital, 3i Infrastructure and Morgan Stanley Infrastructure

Most recently, we advised STAR Capital on their acquisition of Rail Operations (UK) Group, a leading service provider to the rolling stock sector, a deal which included procurement of new-build tri-mode locomotives (Class 93)

​

We have also advised investors on other acquisitions and in relation to their strategies in European rail

Analyzing Data

Family office management

We advise family offices, offering a bespoke outsourced solution to managing their investments, on either an interim or permanent basis.  Our role can be tailored to include any/all of:

  • Developing investment policy and management guidelines, asset/currency allocations, policy mandates and investment approval procedures 

  • Stakeholder reporting, monitoring of fund(s) against benchmarks, reporting on existing and new investments, value and risk management strategies

  • Direct oversight of investments, monitoring management teams, including governance and external fund managers 

  • Sourcing and executing private investments, advising on debt strategy and treasury management.

Aviation

 

 

We have advised on over USD3.0 billion of transactions in the aviation sector. A particular focus has been on services, such as maintenance, repair and overhaul (MRO), flight training, ground handling and general aviation

​

Successful industry roll-ups we have worked on include SR Technics in MRO and Oxford Aviation Academy (now part of CAE) in flight training. We have also advised several leading service providers to the aviation sector

 

In the United Kingdom, we have worked with Air Charter Services, CTC Aviation (now L3Harris), Flying Time Aviation (FTA) and, in New Zealand with Rishworth Aviation (a leading supplier of experienced pilots to the industry)
